Under Australian law it seems to me that Amgen has been acting as a "shadow director" since becoming an investor. It appears that they have been controlling UNIS for over a year and this has not been good for other investors. I am only a bush lawyer but under Australian law Amgen may be liable for our losses. Would this concept of shadow director and attached liability flow through to US securities law? I have followed UNS closely since listing and have followed this 'widow-maker' trade all the way down.
