The qualifying date for both the offers seeking new shares @70c (the pro-rata offer - and the Shortfall Offer) are the same. I believe the two are independent of each other - but if you want more LLL shares then you would be advised to take up your pro-rata offer - as you know how many you'll get - whereas the shortfall offer is a bit of a pig-in-a-poke.
