I thought the boards duties is to consider what is beneficial for all shareholder’s, including the passive shareholder who don’t partake in voting.
The board succumbed to the institutions wishes by returning capital that minimised their tax obligations.
Is there anything in Corp Act or ASX rules making it an offence to favour one group of shareholders over an other group of shareholders.
In this case over the majority of passive shareholders by arranging an outcome that favours the professional investors.
