It’s not static.
If PLS falls below that reference price of $2.85 then then the equivalent value of each LRS share also falls (because the value of each LRS share under the deal = LRS shares * 0.07 * PLS share price at time of deal approval.
This means anyone holding LRS shares right now takes downside risk on a falling PLS share price but also has exposure to upside if PLS rises above $2.85.
