Due diligence is the norm, whether it be a full cash offer or shares/cash mix. Performance hurdles & escrow provisions also play their part. Considering this contract was dated 4th July 17, I would be (personally) confident the seller has broken protective covenants (if they were in place) already & the contract can now be voided.
Have never held BAL as there is a degree (from my point of view) of fragility that always seems to be present.
