It is a better solution than just giving free shares to someone like many companies do. In this way the shares are not given away they still have to be purchased at 1.50 if i am correct.
so the incentive is for the director to get the shares well north of 1.50 because every cent above that price is profit? If he can boost the shares to $2 then he converts at 1. 50 and is up 50c on each share.
Im assuming you know all this already and are just continuing your criticism of the company anyway but just in case.
It is a better solution than just giving free shares to someone...
