The following is what any court will look at which clearly indicates MZN prior to the announcement in November did not believe they had a binding agreement with KDR. This is MZN's response to a Price and volume query on 18th July! As a side note I have never held either MZN or KDR.

The recent Kidman Resources Limited (ASX: KDR) releases dated 15th July 2016, July 2016, 21^st June 2016, 2^nd June 2016, and 23 rd May 2016, highlighting the significant lithium potential of their tenements that adjoin Marindi’s tenure at its 100% owned Forrestania Lithium Project as announced on the 17^th May 2016.

The article in today’s Australian Newspaper titled “Lithium Gets Second Wind” which mentions Marindi and its ground at the Forrestania Lithium Project.

Yes, the Company confirms it is in compliance with ASX Listing Rules and, in particular ASX Listing Rule 3.1

IMO if they are proven to have a binding agreement dating back to April they will be in significant trouble under 3.1 disclosure, in addition G.M.Jones may be in trouble for insider trading for his share purchase of 3.5M shares at 1c on 24th June.

Could he argue that he didn't know the emails could be binding until recent consultation with a legal team on Oct. 2016...?
