I'm just a simple man, but a couple of things don't make sense here.
On disclosure - the moment something material (lets agree this is material for an explorer) becomes binding or unconditional, it has to be disclosed. In my experience in a public company, whenever you are in discussions over a material deal, everyone is an*l about disclosure and when you have to go to market. Generally it is when all conditions are met, and its binding. If something is done, you need to go to market, and then if the other party wants to try and back out, thats up to them.
If this is all being disputed then I struggle to see how there was ever "acceptance" for the discussions to form a Contract.
As I said, just a simple man with simple views. You could almost say "what would a reasonable person think"
