I haven't seen them used before.
It seems to me that Orbimed wants the right to match any purchase price from third parties.
I am not sure what Company Party employee means-
Could be just employee incentives or could be a Director or someone within the company that wants to buy in.
Either way Orbimed appears content with management buying but wants to vet third parties, which might be just a means to stop another Discovery Loan fiasco.
The specific time span range is interesting and of course so is the proposed sale of the facilities- which is entirely appropriate as Sanofi has suckered UNIS into building the facilities and equipping them.
It also alays Pharma's fears that UNIS might go broke and not be able to fulfill their production contracts and so it's best if the Pharma's oversea their own production needs.
