In terms of "what does AZA have to do with it": if there is a corporate play for AZA then as part of its defence AZA Management will appoint an Independent Expert ("IE") to value the assets of AZA. Apart from having a positive impact now (10.5% POP in the share price today) having an IE's value BMG will be good news for BPT (the market will have an independent value for one of its key assets) as it will prove to the market (once and for all) how undervalued the BMG asset really is.
In terms of the second question, AZA Management is made up of human beings who make the calculation every day whether they should go it alone or cash out and succumb to others for a higher price than where their shares trade.
Managements do not like looking stupid. They can and do recognise that their job is to make money for all shareholders (including Anzon Energy Limited – which has an approx 53% shareholding in AZA).
They want to get rich, too, either short term or long term.
Management often has incentives to sell out, as is the case with the bountiful options available to AZA Management and Directors.
In the end, it will all come down to "price" versus "value".
Everyone has a "price".
The predator(s) IMHO are attempting to make a friendly approach rather than go the hostile route (given AEL's approx. 53% stake in AZA).
In may all come to nought but in the process it is having a positive impact on BPT's share price, and that is all I care about.
