Under the Farm-in Agreement, Vale may earn a 51% interest in the tenements by sole funding US$ 20 million of project expenditure over the next four years, of which at least US$ 5 million must be funded within the first year. Upon Vale earning a 51% interest, Goldminex PNG may elect to retain a 49% interest by contributing to project expenditure on a program basis or dilute. Goldminex PNG will continue to manage exploration programs during the first year with Vale holding the right to manage exploration programs thereafter.
