My take, poor share price performance could lead to a vote against the remuneration report. Only 25% needed to vote against it two years running to vote on a spill motion. This can lead to current board all having to stand for re-election and substantial shareholders could put their own board candidate forward. Look at Myer or Blackmores for more information
