Twiggy, Spenceley cut deal to float telco play Swoop

The Forrest family’s Tattarang and Vocus founder James Spenceley are teaming up for a new listed telecommunications play.
It is understood Tattarang and Spenceley are working together to list Swoop Telecommunications, one of Australia’s largest fixed wireless networks with 220 towers across all mainland states and 110 staff.
The Forrest family-backed Swoop and NodeOne are to be acquired by ASX-listed Stemify Ltd in a reverse takeover.
The deal is expected to be done via ASX-listed Stemify Ltd, a shell company with a $3 million market capitalisation.
Stemify is expected to buy both Swoop Telecommunications and NodeOne, which is a Western Australian internet and fixed wireless company, in a reverse takeover.
Both companies are part owned by Forrest’s Tattarang.
The deal will be funded with a $15 million equity raising at 50¢ a share via stockbroker Morgans. An ASX announcement is expected as early as Thursday,
Spenceley, who left Vocus four years ago and is chairman of the soon-to-be-listed Airtasker, is expected to join the board as chairman and has recruited telco industry veterans Tony Grist (who founded Amcom) and former PIPE Networks and Superloop executive Matt Hollis as his fellow directors.

Tattarang is expected to retain a stake.
The presence of Spenceley, Grist and Hollis, along with Tattarang’s deep pockets, are sure to grab fund managers’ attention.
The three telco industry executives are well known among small and micro cap fund managers.
The mooted reverse takeover comes less than one year after Tattarang invested in NodeOne, which was founded in Geraldton in 2009 and has been at the forefront of internet and fixed wireless technology in WA since.
Tattarang invested in Swoop, formerly called Cirrus Communications, in 2019, tipping in funds alongside Spenceley and Grist, who joined the company’s board.
It comes amid renewed investor appetite in Australian telecommunications infrastructure, thanks to technological changes, the national broadband network and the emergence of infrastructure funds interested in buying assets owned by the likes of Vocus Group.
