PH could be fighting off hostiles left right and center, the only way to keep control is through the large SOI and knowing the other large holders are in line with him, that takes the retail out of it even if they (we) decide to vote.
Over at CHM there was a time when a poster here said if the SP over there dropped to a certain level they could buy up such an amount a board seat could be demanded. The next CR over there guaranteed that wouldn't happen, because PH was aware its almost like saying 'il take your funding / money, but you wont get a board seat or any control' - my take and opinion on this only.
So whats going on here behind the scenes that we aren't privy to.
