Whilst you are correct that an offer should be put to shareholders, maybe there was never an offer on the table?
It could have been that they were merely sounding out potential terms & conditions.
Then when perhaps it became apparent early on in discussions, both parties realised that a deal was not on the cards.
No need to mention this to shareholders.
