Resolution 12 seeks shareholder approval pursuant to ASX Listing Rule 10.14 to grant an aggregate total of
up to 20,000,000 options ('Options') to Messrs Robert M. Bell (2,000,000), Anthony J. McClure (2,000,000),
Anthony J. McDonald (8,000,000) and Peter J. Nightingale (8,000,000) ('Eligible Directors'), in accordance
with the terms of the Plan.
The maximum number of Options that may be granted in aggregate to the Eligible Directors is 20,000,000
