I should have mentioned, there is still very much a place for management in any takeover bid. Most shareholders will know what is good for them but likely have no real idea of whether or not the TO offer is fair and reasonable or simply a 'low ball' offer. A recommendation from management would be very useful as an aid to shareholders.
