If it works as my companies RSU vesting schedule works you are allocated a Share Price when you receive the contract for the RSUs but when they vest into shares you receive them as taxable income at whatever the market value is that day. So the appreciation does not mean she can now sell less, she will always need to sell the same % of them to pay the % of income tax required if I am not mistaken.
