Like you, I'd leave the legals to the lawyers (though I'm sure those used by BCS will argue the company line). However to answer your suggestion that if it were possible it would have been done before, I wouldn't be so sure. Shareholders are a fragmented and usually docile bunch, especially in these Mums & Dads floats, and simply don't realise or use what power they have collectively. The Company belongs to the shareholders, and the Board members are its servants. They can be replaced.
