The reason for the special dividend is to 'balance' the contribution from both parties.
VHA has a lot more debt than TPM, not all of VHA's debt is being transferred to the merged entity, and TPM is giving out some cash to bring themselves down to the level of VHA.
TPM will also have to sell off their Singapore mobile rollout that they started.
