Is the new "merged" company's headquarters going to be the same headquarters that Coeur D Alene Mines Corp currently has?

If so this SMELLS like a takeover of BSG and NOT a merger?

So why should BSG be taken over without even a takeover premium?

The current scrip bid values BSG at $2.95. That is 35 cents less than when the "merger" was announced.
