I would have thought merger means a swap of shares, different from a takeover.

In other words there will be a new entity and for every x amount of SXP shares you will get y amount of shares in the new entity. For a certain amount of LNC shares you get a certain amount of shares in the new entity.

If it was a takeover would they not call it that?
