Who are the "Ineligible Overseas Shareholders" according to the Scheme Booklet?

Ineligible Overseas Shareholdersa person who holds one or more Allkem Shares on the Record Date
whose address is shown onthe Allkem Register as
a place outside of Australia, Argentina, British Virgin Islands, Canada,China, Hong Kong, Japan, Malaysia, New Zealand, Singapore, the United Kingdom and theUnited States (unless otherwise
agreed by Allkem, Livent and NewCo in writing, each actingreasonably) or any other jurisdictions agreed by Allkem, Livent and NewCo
in writing as lawfuland not unduly impracticable or onerous for NewCo to issue such Allkem Shareholder NewCoShares or NewCo CDIs upon Implementation in accordance with the terms of the TransactionAgreement (each acting reasonably)."

@Zetland1 whose address is in Bali and
@Steffffi in Austria will be Ineligible Overseas Shareholders unless they have
in writing an approval from Allkem, Livent and NewCo as eligible overseas shareholders.
What a mess! You really need to find out about this. Don't accept what they tell you; but demand to have it in writing even from your broker to be safe!!
