If I understand it correctly, they have a blank cheque on that, on the pretext of "takeover defence mechanisms". Section 8.3 bb. in Scheme Booklet page 182 says:

"... the NewCo articles of association will:
i. permit the NewCo Board to issue one or more series of preferred shares with rights and preferences designated by the NewCo Board;"

Isn't that the privilege of a Monarch?!
