They are just a customer that has pre -paid for ore and insisted to be on the board until the debt is extinguished (for now ... I expect the plans will change)

This is a whole new agreement. The old agreement is extinguished. We would be told if we had to vote on this new agreement. PLV cannot issue the shares next week PENDING our vote ... they could only issue these shares after the vote was in favour.

I don't think a vote is necessary.
