    I think you are misunderstanding what i am saying, i am not saying that share holders are ACTUAL GUARANTORS, but the company by issuing discount stock to the finance company. ie the company / share holders are paying the finance company for the risk of the finance, are acting as virtual guarantors by this scheme

    this is not shown as a liability of the balance sheet
