I think you are talking about 2 different scenarios.
1. If a third party wants to buy direct equity in Senegal JV then that would most likely be subject first right provisions allowing Cairn or COP to make a bid equal or more to a third parties bid.

2. For a complete takeover of FAR (which includes Senegal, Kenya, Australia etc) then I could not see how COP or Cairn could in any way interfere based solely on JV provisions relating only to Senegal. Change of ownership would allow for FAR to be sold ensuring that all conditions of the JV's are maintained. Obviously if COP or Cairn wanted to compete against a third party bidding for FAR then that would be up to them.
