as he is retiring, he may just want to take the money and run as you suggested.
it reminds me a bit of Xstrata's bid for MIM. Directors recommended in favour of the takeover but most of the shareholders wanted to hold out. The net result was that MIM was sold to a foreign company for well below what it was worth.
