just think out loud here - wouldnt it be better for WMT to have a higher share price within the 120 due diligence phase and pay them in shares based on the 10 day VWAP?

that way they dont dilute as much and the top holder in the end wont be selling at a lower price pushing it down.

I personally think the fact that they are paying based on a 10day VWAP they would want the price up and not down.
