problem is he will be a willing Seller - at a price.
that price will almost certainly be below that 20c level.
the more he averages down, the more likely he will bail.
also, he can sell his bulk holding to MBL on or off mkt, because MBL is well shy of the 20%.
Purchasing the Troy by MBL would not necessitate MBL from launching a bid.
all just imho.
