I just did a calculation and found out for GG's holding to stay at 16% the company will need to issue a further 334 million shares.
NEXT PART IS IMPORTANT!
To ensure GG's holding will remain under 20% the company will need to issue only an additional 39mil shares to wny investor other than GG, otherwise GG's holding will JUST reach 20% and he will have to either sell shares to fall back below 20%, or he will need to declare a T/O.
I guess the $10mil trunches may be designed to somehow allow the company time to issue additional shares as a tokenised dilution to keep GG under 20%.
IF the intention is for GG to only maintain 16% then the total of 362mil shares to be issued will need to be at the same time as the notes are converted, albiet in trunches, which is logistically impossible over only 90 days. Hence it is likely GG will reach just under 20%. This will be good news, caus otherwise if GG reaches 20% and go for T/O, he will be in too early for our good.
So, hopefully other BIG pharma are having an eye on MSB *NOW* if GG's intent is to T/O, to prevent GG's T/O to be opportunistic and low balling.
In any case, my experience tells me:
(1) Any T/0 bid initiates at least a 2nn, and of course higher, bid. Big pharma mormally don't have a hostile T/0 strategy but once a 1st bidder initiates T/0, their bidding for a T/O will not be seen as hostile.
(2) A 2nd (higher bid) is normally followed by the 1st bidder to increase price and/or other bidders jumping in.
So, i NEVER sell my shares to the first bidder. Eventhough the 1st or whichever bidder buys any number of shares and they increase their bid later, they will have to pay the diff to those who sold their shares to that bidder ...
BUT ...
if I sell my shares to the 1st bidder and then a higher bidder comes in and is ultimately successfull, then I will not get any more money for my sold shares (to 1st bidder), BUT the 1st bidder will have the option to sell the aquired shares (including mine) at the higher price to the 2nd or subsequent bidders. So, 1st bidder pockets the profit and I who went head over toe and sold my shares to 1st bidder too early in the competition process between bidders will be very sorry!
