There is no attempt to cover up the extraordinarily generous outcome for NC in this deal, it's described up front in the first few pages of the explanatory memorandum.
I just don't see how opening such a Pandora's box of conflict to obvious public ridicule can be a game plan. It is SO blatant I can't help but think omgwen3rds has a point in saying it is an intended part of Nic's play. But for the life of me I cannot see the angle.
