In this case, the middle man is the one with the technology(ESI) that turns the Brown Coal (Loy Yang) into an exportable commodity, which it currently isn't, that can be purchased and transported to other parts of the world (Tincom).
To cut out the middle man, in this instance, would be a plain waste of money on Tincom's part as they wouldn't be able to move the resource, they now own at your suggestion, to areas where they can sell it to.
