Nothing happens. After the merger you get 0.569 ORE shares for every GXY share you hold at the time of the merger. Then the name of the company will change after that, so it won't be Orocobre any more.
Edit: assuming 75% or more of GXY holders vote in favour of the merger, which is pretty much a given since the GXY board has recommended it.
