It might be hard to sell 30million WME shares on the market. By giving the 30million to BTV shareholders it gives them a share in WME with a value of around 5cents per BTV share. The value in WME would be full value and not valued at nothing (Like Now).
Then BTV can concentrate on investing the $23million on a suitable upcoming project which will re-rate BTV.
