Not quite right. As you put it there CEO and BOD will make recommendations hence so many times CEO and BOD can reject the offer without next step. After the accepted the offer price then they recommend it. So they can reject any low ball attempts straight away not all of us. Also mostly top 30 shareholders are the important ones not retails like myself.
