I completely agree with all that you said. There is something dodgy going on behind the scenes.
The deal is terrible, and it seems like the board is really trying to push for it, and convince all that it is a great deal..... The only logical reason in my mind behind all their pushing for this crappy deal, is that they have some hidden agenda with Pybar that is of great benefit to the board, which in turn burns all shareholders.
An proper investigation into the board would be great.
