I got a follow-up reply from ASIC. Minor are within their rights to state their "opinion" as long as it is based on the takeover for which they have obtained the shareholder list. They have the right to lead or mislead shareholders based on opinion and deception, but not to outright lie.
I guess, atleast the material can be used if Minor has to argue their valuation at a court for the CA.
