"they failed to raise 5 million last time" - You keep saying this factoid over and over. Reminds me of the "Building Code" factoid.
Fact is: FBR had raised 5 million via instos, and "offered" another five via retail share purchase plan. So they had raised about 8 million dollars.
If they had raised more money you would be complaining about dilution no doubt.
