Do the directors simply take word from institutions that they have informed their clients that they can vote as individuals or have given written authority for administrator’s to act as their proxy!
My understanding is that directors have a duty to identify these hidden individuals in Custodian and Nominees companies before accepting the voting results.
Would someone confirm whether my understanding is correct?
