Charter Pacific Corporation (ASX:CHF) has entered into a binding agreement to acquire 100% of the issued shares in Integrity Systems Inc.
Charter Pacific will issue 332.5 million shares in Charter Pacific worth US$23.6 million subject to shareholder approval, with further shares issued at higher share prices.
Integrity Systems has current annual revenue of US$12.5 million (unaudited) from its anti-counterfeit products and services with a portfolio of blue chip clients. A capital raising will seek to raise up to $14 million for the acquisition.
Today's confirmation of a binding agreement took Charter Pacific to the top of the charts of ASX intra day gainers.
