    • ENTERED INTO A $4.35 MILLION SUBSCRIPTION AGREEMENT WITH WINSHINE SCIENCE COMPANY LIMITED
    • WINSHINE HAS AGREED TO SUBSCRIBE FOR 87 MILLION ORDINARY SHARES OF CO AT $0.05
    • IMMEDIATELY AFTER COMPLETION WINSHINE WILL HOLD ABOUT 19.8% OF ISSUED SHARES OF CO, WILL BE LARGEST SHAREHOLDER
