There seems to be an assumption here that control requires approval of 90% 0f shareholders. In reality 50.1% of votes gives that shareholder complete control of the Company and, provided any deal cannot be overturned by a court on the basis of fairness, the controlling shareholder can direct the ore to wherever they chose. Lots of Companies trade with a minority shareholding.
