Looking at the announcement, it says ... Implementation of the Merger requires the approval by Novion securityholders but there's nothing to say that FDC shareholders would have any say at all.
I also hadn't realised that this scheme was cooked up by the FDC directors themselves.
Novion received in October 2014 an unsolicited and confidential expression of interest from Federation to merge both groups
