Trying to read between the lines, Perpetual really do believe the offer is undervalued as indicated that Perpetual having a better than expected outlook. Also it would seem they are not so interested in selling.
The current SP and the takeover offer are probably a loss for most shareholders (and me too). And most shareholders probably believe that Perpetual is a somewhat unique company and brand, and that a return to long term average SP will occur in the coming 1-3 years.
