I thought stage 2 of Pennybacker is paid upon the business meeting future performance hurdles. The $11m should not be required yet. Working capital of $20m looks took much if the portfolio returns $25 million after expenses per year. I think the board should have mentioned the capital raise with the announcement. The announcement should have stated how the acquisition would be funded.
