    Feb 25 (Reuters) - SML Corp Ltd (SOP) :

    • Directors' statement re reverse takeover (SOP)
    • Entered into a binding heads of agreement to acquire all the shares in osc

      group pte, a private singaporean property development company

    • Outlook for the company in the short and medium term is not positive for

      developing and expanding its current business and operations

    • Says consideration for the acquisition comprises 320 million new fully paid

      shares
