The whole way in which the current management are conducting themselves should be a massive red flag to any current shareholders.
It appears that the current management still thinks that the rules do not apply to them and it's going to be interesting to see who would be the beneficiary(?) if this resolution was to pass. Who would effectively have control over the company. And to what end?
Given the apparent determination of current management to maintain control of the cash cow at any cost, there must be some back story?
