"Does anyone know the disclosure rules in regards to a company being 'looked at' by another. If asked, do they need to confirm or deny??"
Most of the time public information is used to review a company and they do not need to disclose anything until they get down to serious takeover/merger talks. Companies are always running the ruler over other companies, most get no further than a quick review. Only if they are in serious talks at board level would it need to be disclosed.
