Billy, the next key level for KAR is 15%, which is the level they will require Foreign Investment Review Board (FIRB) approval to go beyond. they are very close to this level which may be why they are not currently buying.
Might be worth a look to see if an application has been made, not sure if this is a public document or not?
At 20% they do not need to make a formal takeover bid, but reporting and actions of the company are more heavily monitored.
